1. Introduction and Acceptance of Terms

Welcome to TucoPay.

These Terms of Service ("Terms") govern your purchase of digital products and services sold by TucoPay, including software applications, SaaS products, digital subscriptions, educational content, and other digital offerings.

TucoPay ("TucoPay," "we," "us," or "our") operates as a Merchant of Record ("MoR") for eligible purchases, acting as the seller of record and handling payment collection, billing, applicable refunds, and transaction-related customer support.

By purchasing a product or service from TucoPay, you agree to these Terms, our Privacy Policy, and any additional product-specific terms clearly presented to you before purchase.

If you do not agree to these Terms, please do not complete your purchase.

These Terms do not limit any mandatory consumer rights available under applicable law.

2. Our Role as Merchant of Record

TucoPay acts as the Merchant of Record for transactions identified as being sold by TucoPay.

As Merchant of Record, TucoPay is responsible for:

  • Acting as the seller of record for applicable transactions.
  • Processing and collecting customer payments.
  • Providing transaction confirmations and billing information.
  • Managing applicable refunds and payment disputes.
  • Handling payment-related customer inquiries.
  • Administering recurring billing when applicable.
  • Managing applicable transaction-related tax obligations.

Digital products and services may be developed, maintained, hosted, or delivered by independent third-party providers ("Product Providers").

Product Providers may be responsible for technical functionality, product availability, content, software maintenance, and product-specific support.

The identity of the relevant Product Provider and any additional terms applicable to the product may be disclosed on the product website, checkout page, or within the purchased service.

TucoPay remains responsible for its obligations as the seller of record, regardless of whether a third party provides or operates the underlying digital product.

3. Eligibility

To purchase products or services through TucoPay, you must:

  • Be at least 18 years old or have any legally required parental or guardian authorization.
  • Have the legal capacity to enter into a binding purchase agreement.
  • Provide accurate and complete checkout information.
  • Use a payment method you are authorized to use.
  • Comply with applicable laws and these Terms.

We reserve the right to decline or cancel transactions when reasonably necessary to prevent fraud, comply with legal obligations, or address violations of these Terms.

If a payment has already been collected for an order we cannot fulfill, we will provide an appropriate refund or remedy as required by applicable law.

4. Digital Products and Services

Products sold through TucoPay may include:

  • Software-as-a-Service (SaaS) applications.
  • Web-based software and productivity tools.
  • Digital subscriptions and memberships.
  • Online courses and educational materials.
  • Downloadable digital content.
  • AI-powered applications and digital tools.
  • Other electronically delivered products and services.

Each product may have its own features, functionality, technical requirements, access conditions, and subscription options.

Product descriptions, included features, pricing, billing frequency, and material limitations should be reviewed before completing a purchase.

We work with Product Providers to facilitate the delivery of purchased products and resolve issues affecting customer access.

We may expand or modify the catalog of products available for purchase at any time.

5. Pricing and Currencies

TucoPay serves an international customer base and may offer products in multiple currencies.

The currency, price, and applicable charges for your purchase will be displayed during checkout.

Before confirming a purchase, you will be presented with the applicable total payment amount, including any taxes or mandatory charges required to be disclosed under applicable law.

TucoPay may receive payment settlement in USD, regardless of the currency displayed to the customer.

Your bank, card issuer, or payment provider may apply currency conversion rates or additional fees according to its own terms.

We do not control fees independently imposed by your financial institution.

Prices may vary by product, geographic location, promotional offer, subscription plan, or other clearly disclosed commercial conditions.

Price changes will not retroactively alter the amount of an already completed one-time purchase. Changes to recurring subscription prices will be handled in accordance with Section 7.

6. Payment Authorization and Processing

By submitting an order, you authorize TucoPay and its payment processing partners to charge the selected payment method for the amount disclosed at checkout.

Payments may be processed through third-party financial institutions, payment gateways, acquiring banks, and payment service providers.

For your protection, transactions may be subject to authorization checks, security screening, and fraud prevention procedures.

We may decline, suspend, or cancel suspicious or unauthorized transactions.

A purchase is considered confirmed when the payment is successfully authorized or completed, as applicable, and the order is accepted.

You agree to provide accurate billing information and to use payment methods for which you have authorization.

7. Subscriptions and Recurring Billing

Certain products sold by TucoPay operate on a recurring subscription basis.

7.1 Subscription Terms

Before purchasing a subscription, the checkout process will disclose the applicable:

  • Subscription price and billing currency.
  • Billing frequency.
  • Initial payment amount.
  • Trial or introductory offer conditions, if applicable.
  • Renewal terms.
  • Cancellation method.

By purchasing a recurring subscription, you expressly authorize TucoPay to charge the selected payment method at the disclosed billing frequency until the subscription is canceled or otherwise terminated.

7.2 Automatic Renewal

Subscriptions may renew automatically at the end of each billing period.

Unless canceled before the applicable renewal deadline, your selected payment method may be charged for the next billing cycle.

Automatic renewal conditions will be disclosed before you authorize the subscription.

7.3 Free Trials and Introductory Offers

Some subscriptions may include a free trial or a discounted introductory period.

Where applicable, the checkout process will clearly disclose:

  • The duration of the trial or introductory period.
  • The amount that will be charged after the promotional period.
  • The date or conditions triggering the first regular charge.
  • How to cancel before a charge occurs.

We will obtain any authorization required by applicable law before initiating recurring charges.

7.4 Subscription Cancellation

You may request cancellation of a subscription at any time by contacting:

contact@tucopay.com

Where an online cancellation mechanism is provided, you may also use that mechanism.

Cancellation prevents future recurring charges once processed, subject to any mandatory notice or timing requirements lawfully disclosed before purchase.

Unless otherwise disclosed or required by law, cancellation does not automatically result in a refund of previously billed periods.

We will confirm cancellation and explain any remaining access period.

We will not intentionally impose unreasonable obstacles to cancellation.

7.5 Failed Payments

If a scheduled subscription payment fails, we may attempt to process the payment again in accordance with the applicable subscription authorization and payment network rules.

Repeated payment failures may result in suspension or termination of subscription access.

7.6 Subscription Price Changes

Subscription prices may change from time to time.

When required, we will notify customers of material pricing changes in advance and obtain any legally required consent.

Customers may cancel their subscriptions before a new price takes effect.

8. Product Delivery and Access

Digital products are generally delivered electronically.

Depending on the product, delivery may occur through:

  • Email containing access instructions.
  • A secure account activation link.
  • Access to an online application or dashboard.
  • A digital download.
  • A subscription activation.
  • Another delivery mechanism disclosed during purchase.

Product access may require account registration, email verification, or additional configuration.

Delivery times may vary based on the product, but any material delivery conditions will be disclosed in connection with the purchase.

If you experience difficulty accessing a purchased product, please contact our support team.

We will work with the relevant Product Provider to investigate and assist with fulfillment.

Where a purchased product cannot be delivered as agreed, we will provide an appropriate remedy, including a refund where required by applicable law.

9. Refund Policy

TucoPay is committed to providing a straightforward and accessible refund request process.

If you are dissatisfied with a purchase, experience an issue with a digital product, believe a charge was made incorrectly, or wish to request a refund, you may contact us directly.

Refund Requests: contact@tucopay.com

Please provide your purchase email address and, if available, the transaction identifier or other information sufficient to locate your purchase.

Our support team will review the request and provide assistance.

Refund eligibility may depend on the product, circumstances of the transaction, applicable refund terms disclosed at purchase, and mandatory consumer protection laws.

Approved refunds will generally be issued to the original payment method where technically and legally possible.

The time required for funds to appear in your account may depend on your bank or payment provider.

Customers are encouraged to contact TucoPay before initiating a payment dispute so that we have an opportunity to resolve the issue promptly. However, contacting TucoPay first is not a condition for exercising any statutory or payment network dispute rights.

Additional details are available in our separate Refund Policy.

Nothing in these Terms excludes or restricts non-waivable consumer refund, withdrawal, cancellation, or other statutory rights.

10. Chargebacks and Payment Disputes

We take payment disputes, unauthorized transactions, and potential fraud seriously.

If you do not recognize a charge, experience a billing problem, or believe a transaction was unauthorized, please contact us.

Email: contact@tucopay.com

We may investigate disputed transactions and work with payment providers, issuing banks, and payment networks to resolve them.

Where available, we may use early dispute notification services, including Ethoca and Verifi, to identify potential disputes and facilitate prompt resolutions.

We may provide relevant transaction documentation to financial institutions or payment networks when necessary to investigate or respond to a dispute.

You retain all rights to contact your bank, card issuer, or applicable payment authority regarding a transaction.

We will not penalize customers merely for exercising legitimate dispute rights.

11. Customer Accounts and Security

Some products may require the creation of an account or the use of secure access credentials.

When accessing these products, you agree to:

  • Provide accurate registration information.
  • Protect your account credentials.
  • Avoid sharing access in violation of applicable product terms.
  • Notify the relevant support team if you suspect unauthorized account activity.
  • Refrain from attempting to bypass security measures.

TucoPay may manage transaction and billing records separately from accounts maintained by Product Providers.

Product-specific account security and technical access conditions may be governed by additional terms disclosed by the relevant Product Provider, without reducing TucoPay's obligations as the seller of record.

12. Acceptable Use

You agree not to use TucoPay's checkout or commerce services for unlawful or abusive purposes.

Prohibited activities include:

  • Using stolen or unauthorized payment methods.
  • Providing deliberately false billing or identity information.
  • Attempting to circumvent fraud prevention controls.
  • Interfering with payment processing or platform security.
  • Exploiting technical vulnerabilities.
  • Engaging in fraudulent transactions.
  • Using purchased services in violation of applicable law.

Violations may result in declined transactions, suspension of access where appropriate, or other lawful protective measures.

Any restriction or termination will remain subject to applicable consumer rights and refund obligations.

13. Intellectual Property and Product Licensing

Software applications, digital content, trademarks, designs, and other intellectual property may belong to TucoPay, the relevant Product Provider, or their respective licensors.

Purchasing a digital product does not automatically transfer ownership of the underlying intellectual property.

Unless otherwise stated in product-specific terms, purchases generally grant a limited right to access or use the purchased product for the intended purposes and agreed duration.

Customers may not unlawfully reproduce, redistribute, resell, reverse engineer, or commercially exploit protected digital products.

Any additional product-specific license restrictions must be made available as required by applicable law.

14. Third-Party Product Providers

Certain digital products sold by TucoPay are developed or operated by independent Product Providers.

These providers may maintain their own applications, infrastructure, user accounts, technical documentation, and product support channels.

Additional product-specific terms may apply where properly disclosed.

TucoPay is responsible for its obligations as Merchant of Record, including transaction-related responsibilities that cannot lawfully be delegated or excluded.

Product Providers may separately be responsible for their own independent technical operations, content, and service commitments.

If a Product Provider fails to deliver a purchased product or service, customers may contact TucoPay for assistance and any applicable remedy.

15. Service Availability and Changes

We aim to provide reliable payment and commerce services.

However, websites, payment systems, and third-party digital products may occasionally experience interruptions due to maintenance, network failures, security incidents, or circumstances beyond reasonable control.

We may update our checkout systems, security controls, or other operational features to maintain service quality and compliance.

Product Providers may independently update their products, subject to applicable purchase terms and consumer protection laws.

If a material service failure affects a paid purchase, we will evaluate appropriate remedies in accordance with applicable law.

16. Privacy and Data Protection

We collect and process personal information in accordance with our Privacy Policy.

Personal information may be processed for:

  • Payment processing.
  • Transaction fulfillment.
  • Subscription administration.
  • Customer support.
  • Refund and dispute management.
  • Fraud prevention.
  • Legal and regulatory compliance.

For additional information about our data practices, please review our Privacy Policy available through our website.

17. Taxes

TucoPay may calculate, collect, report, and remit applicable transaction taxes in accordance with relevant legal obligations and the tax treatment of each purchase.

Where required, applicable taxes and mandatory charges will be disclosed during checkout.

Customers are responsible for providing accurate information reasonably necessary to determine applicable taxes.

Any tax-related responsibilities that cannot legally be transferred to customers remain with the party responsible under applicable law.

18. Disclaimer of Warranties

To the maximum extent permitted by applicable law, TucoPay's websites and commerce-related services are provided without guarantees of uninterrupted or error-free operation.

Product features, performance commitments, and service-level guarantees may vary based on the purchased product and the terms disclosed at the time of purchase.

Nothing in these Terms excludes warranties, remedies, or other protections that cannot lawfully be excluded under applicable consumer protection laws.

19. Limitation of Liability

To the maximum extent permitted by applicable law, TucoPay will not be liable for indirect, incidental, special, or consequential losses arising from the use of its services where such exclusions are legally permitted.

We do not exclude or limit liability for fraud, willful misconduct, gross negligence where prohibited, or other matters for which liability cannot lawfully be excluded or limited.

Any limitation of liability is subject to applicable consumer protection laws and does not eliminate your right to receive a product or service as agreed, obtain a legally required refund, or exercise other mandatory statutory remedies.

20. Suspension and Termination

We may suspend or restrict access to TucoPay-operated commerce services when reasonably necessary to:

  • Prevent suspected fraud or unauthorized transactions.
  • Protect customers and payment systems.
  • Comply with legal or regulatory obligations.
  • Address material violations of these Terms.
  • Respond to legitimate security threats.

Where appropriate and lawful, we may provide notice and an opportunity to resolve the issue.

Termination or restriction of access does not eliminate existing payment, refund, data protection, or other legal obligations.

21. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, to the extent permitted by applicable law, without regard to conflict-of-law principles.

This choice of law does not deprive consumers of mandatory protections available under the laws of their place of residence.

If a dispute arises, we encourage customers to contact our support team so that we can attempt to resolve the matter amicably.

Nothing in these Terms prevents consumers from bringing claims before courts, regulators, or other authorities where they have rights to do so under applicable law.

22. Changes to These Terms

We may revise these Terms to reflect changes in legal requirements, our services, security practices, or business operations.

Updated Terms will be posted on our website with a revised effective date.

Material changes affecting existing subscriptions or ongoing contractual rights will be communicated where required by law.

Changes will not retroactively eliminate rights or obligations arising from completed purchases.

Continued use of services following a validly communicated change may constitute acceptance only where permitted by applicable law.

If any provision of these Terms is found unenforceable under applicable law, the remaining provisions will continue in effect to the extent legally permissible.

Failure to enforce a provision does not constitute a waiver of the right to enforce it later.

These Terms, together with the applicable checkout disclosures, Privacy Policy, Refund Policy, and any properly incorporated product-specific terms, govern the relevant transaction.

In the event of a conflict, mandatory applicable law will prevail.
